Job
Purpose :
Assist Company Secretary to provide high quality, timely and
effective secretarial support and corporate governance advice to the wide
variety of subsidiary entities across the Company Group.
Key Responsibilities :
· Maintenance of Statutory Registers & Records.
·
Assist in conducting various meetings like
Shareholder/Board/Committee Meetings
·
Assist in preparation of Agenda and Minutes
of meetings of the Board of Directors, Committees of Directors, and shareholders.
·
Assist in preparation and filing of various
returns with Stock Exchanges under the new Listing Rules.
·
Assist in preparation of various reports like
Directors Report, preparation of Annual Report, Corporate Governance Report etc.
·
Handling Investor related work and dealing
with company’s RTA
·
Assist in Preparation of MIS reports &
liaisoning with consultants, government departments etc.
·
Ensure the updations of secretarial
compliance in Online portal.
·
Assist in corporate actions like Dividend/Right/Bonus/QIP/M&A etc.
·
Preparation & filing of e-forms/returns
under Companies Act.
·
Keep track of various legal updates in
Companies Act, SEBI regulations and Listing rules and arrange impact analysis,
if any for the same
·
To provide
secretarial information for preparation of Annual Accounts.
·
Assist
in carrying out Due Diligence exercise for corporate
actions
·
Assist
in preparation of various policy documents as required under the new law.
·
Assist
in automation and standardization of secretarial processes.
·
Assist
in implementation of Compliance tool at companywide level
·
Prepare
and vet drafts for various legal agreements/contracts with vendor and customers
